End-User License Agreement

“Permission to use our software, but you must follow the rules and we still own it.”

Definitions and key terms

To help explain things as clearly as possible in this EULA, every time any of these terms are referenced, they are strictly defined as:

  • Cookie: small amount of data generated by a website and saved by your web browser.

  • Company: when this policy mentions “Company,” “we,” “us,” or “our,” it refers to Akati LLC, that is responsible for your information under this EULA.

  • Country: where Akati LLC or the owners/founders of Akati LLC are based.

  • Service: refers to the service provided by Akati LLC as described in the relative terms (if available) and on this platform.

  • Third-party service: refers to advertisers, contest sponsors, promotional and marketing partners, and others who provide our content or whose products or services we think may interest you.

  • You: a person or entity that is registered with Akati LLC to use the Services.

 

Introduction

This End User License Agreement (the “Agreement”) is a binding agreement between you (“End User”, “you” or “your”) and Akati LLC (“Company”, “we,” “us” or “our”). This Agreement governs the relationship between you and us, and your use of the Company services.

If you are using the website/app on behalf of your employer or other entity (“Organisation”), then the terms “End User,” “you,” and “your” apply both to you as an individual and to the Organisation.

By downloading, installing, accessing, or using the website/app you:

  • affirm that you have all necessary permissions;

  • acknowledge that you have read and understand this Agreement;

  • represent that you are of legal age;

  • accept and agree to be legally bound by its terms.

If you do not agree, do not download, install, access, or use the software.

The Application is licensed, not sold, to you by Akati LLC strictly under this Agreement.

 

License

Subject to the terms of this Agreement, Akati LLC grants you a limited, non-exclusive, revocable, and non-transferable license to:

  • install and use the Software on one (1) computing device per purchased license;

  • access and use End User Provided Materials in accordance with this Agreement;

  • install and use the trial version for 15 days;

  • receive updates and new features during the license period.

 

Restrictions

You agree not to:

  • license, sell, rent, lease, assign, distribute or make the Application available to third parties;

  • modify, reverse engineer, or create derivative works;

  • remove or obscure proprietary notices of Akati LLC or its licensors.

 

Intellectual Property

All intellectual property rights related to the Software remain the exclusive property of Akati LLC (or its licensors). This Agreement conveys only a limited license.

You (or your Organisation, if applicable) retain ownership of intellectual property rights in the work products you create through or with the Software.

 

Suggestions

Any feedback or suggestions you provide to Akati LLC remain the sole property of Akati LLC, which may be used freely without credit or compensation.

 

Modifications & Updates

Akati LLC reserves the right to modify, suspend or discontinue the Application at any time. Updates may alter or remove features.

 

Third-Party Services

The Application may include or link to third-party content or services. Akati LLC is not responsible for these services.

 

Term & Termination

This Agreement remains effective until terminated by you or Akati LLC. Failure to comply will result in immediate termination. Upon termination, you must delete the Application.

 

Indemnification

You agree to indemnify and hold harmless Akati LLC, its affiliates, and partners against claims or damages arising from your misuse of the Software or violation of this Agreement.

 

No Warranties

The Application is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

 

Limitation of Liability

Akati LLC liability is limited to the amount you actually paid for the Application. In no event shall Akati LLC be liable for indirect or consequential damages.

 

Severability

If any provision is found invalid, the remaining provisions shall continue in effect.

 

Waiver

Failure to exercise any right under this Agreement shall not constitute a waiver.

 

Amendments

Akati LLC reserves the right to amend this Agreement at its discretion. Continued use constitutes acceptance of updated terms.

 

Governing Law

This Agreement shall be governed by the laws of the United States (or your operating jurisdiction if updated by Akati LLC.

 

Entire Agreement

This Agreement constitutes the entire agreement between you and Akati LLC regarding the Software.
